Elk Grove Academy FC By-Laws
I. Name The Academy shall be known as
We Ball Soccer Academy (WBSA). The Futbol Club shall be known as We Ball
FC (EGAFC)
II. Purpose WBSA/EGAFC is a Northern
California Youth Soccer and Coaching Academy/FC. The Academy provides year
round clinics, camps, and skill development programs. The EGAFC specializes
in establishing and running soccer programs formed by competitive players.
Our services are designed for youth players of all ages and all skill
levels. WBSA/EGAFC is committed to ensuring all Players, Coaches and
Parents of Players - strive for soccer excellence while maximizing their
individual abilities in a fun, safe, and positive learning environment.
III. Authorities WBSA/EGAFC shall be
governed by its by-laws. Provided the proposed amendment is issued to the
Board of Directors at least 14 days in advance, the by-laws may be amended
by two-thirds vote of: a. The Board of Directors present at regularly
scheduled meeting of the Board of Directors; or b. The members present at
the annual general meeting (AGM), which shall be held in the first week of
May each year.
IV. Board of Directors The governing
authority of the Academy/FC shall be vested in the Board of Directors,
which shall be comprised of the President, Vice President, Registrar,
Treasurer, Secretary, and team representative of each team participating
in the Academy/FC. A majority of the members of the Board of Directors
constitute a quorum at any meeting of the Board of Directors. Membership
of the Board of Directors shall be limited to the members of the
corporation who are 18 years and older. One vote per registered player may
be cast: (a) by the player if 18 years or older; (b) otherwise by a parent
or guardian of the player. Voting shall be by secret ballot. A quorum at
the AGM shall be 10 or more voting members. The team representative’s will
be selected by each team, and approved by the President. a. The President
shall preside at meetings of the Board of Directors and the membership.
The President shall also nominate persons to fill vacant director
positions subject to approval of the Board of Directors; and create and
appoint committees. b. The Vice President shall serve in the absence of
the President, Registrar, Treasurer, or Secretary. The Vice President will
preside at meetings of the Board of Directors and the Membership in the
absence of the President. c. The Treasurer shall serve in the absence of
the President, Vice President, Registrar, or Treasurer. The Treasurer
shall manage the funds on deposit, maintain records the receipts and
disbursements of the Academy/FC teams, and report status to the Board of
Directors. d. The Registrar shall serve in the absence of the President,
Vice President, Treasurer, or Secretary. The Registrar shall handle player
and team registration and advise coaches and managers as to deadlines and
procedures. e. The Secretary shall serve in the absence of the President,
Vice President, Treasurer, or Registrar. The Secretary shall keep and
maintain a record of the minutes of each meeting conducted by the Board of
Directors.
V. Membership The Academy/FC shall be
open to membership of players who have been selected and registered with
an Academy/FC team. Players shall be selected by the coach through
Academy/FC participation, based on skills, team play, and competitive
attitudes. All players will be considered without regard to race, creed,
sex or national origin. Each player shall be required to pay operation
fees, the amount of said fees to be determined annually by the Board of
Directors. In addition, the parents, or legal guardians of the players,
shall be members of the Academy/FC and will be encouraged to participate
to the fullest extent possible.
VI. Team Organization Coaches selected
by the Academy/FC shall be responsible for conduction team activities in
accordance with the by-laws. The head coach has the final authority for
decisions affecting and about the team. Each team shall select a
responsible person, other than the coach to act as a team representative
who shall assist the head coach in the administrative responsibilities of
the team. Each team shall also select a responsible person, other than the
coach, to act as team treasurer who shall assist the head coach in the
financial responsibilities of the team. Upon receipt, all team property,
including funds on deposit and accounts receivable, shall be irrevocably
assigned to and the property of the Academy/FC. Should a team dissolve,
all team liabilities shall be paid promptly, and immediately thereafter
all team property shall be delivered back to the Academy/FC. All teams
shall wear uniforms approved by the Board of Directors and bearing the
logo of the Academy/FC.
VII. Prohibition Against Sharing
Academy/FC Profits and Assets No member, director, officer, employee, or
other person connected with the Academy/FC, or any private individual,
shall receive at any time any of the net earnings or pecuniary profit from
the operations of the Academy/FC, provided, however, that this provision
shall not prevent payment to any such person of reasonable compensation
for services performed for the corporation in effecting any of its public
or charitable purposes, provided that such compensation is otherwise
permitted by the by-laws; and no such person or person shall be entitled
to share in the distribution, and shall not receive, any of the Academy/FC
assets on dissolution of the Academy/FC. All members, if any, of the
Academy/FC shall be deemed to have expressly consented and agreed that on
such dissolution or winding up of the affairs of the Academy, whether
voluntarily or involuntarily, the assets of the Academy/FC, after all
debts have been satisfied, shall be distributed as required.
